Smith Proofreading Terms & Conditions
The contracting of Smith Proofreading’s services are both an acknowledgment and an acceptance of the company’s terms and conditions as put forth in this document.
Hereafter in this document, the following definitions apply to the parties involved:
Company –all affiliates of Smith Proofreading who render editing services to customers.
Customer – any person or organization that requests service from Smith Proofreading or visits the website.
Service – any proofreading, editing, or other fee-based document alterations provided by the Company.
2. Confidentiality, privacy, ownership and copyright of material
We take your privacy very seriously. Smith Proofreading guarantees the confidentiality and non-disclosure of the customer’s documents or submitted material. The company ensures that all submitted material remains the intellectual property of the original author, who retains all rights and privileges granted by all applicable copyright laws. Any request by the company to use a customer’s submitted material in advertising, the company’s portfolio, or for any other reason, will be accompanied with a written document requesting the permission of the customer.
3. Content of submitted or created materials
Smith Proofreading places a high value on ethics and academic integrity. Consequently, we advise customers that copyright infringement and plagiarism are serious offenses. We reserve the right to refuse or terminate service on documents that are discovered to contain copyrighted or plagiarized materials.
Furthermore, the company cannot accept any liability or responsibility for content contained in customer documents including, but not limited to, misleading statements, defamatory remarks or the infringement of any copyright laws. Furthermore, by contracting the service of Smith Proofreading, the customer agrees to indemnify the company from any legal action taken in response to the content of the document submitted for service.
Smith Proofreading advises all customers to review any changes made to their submitted material, and thus cannot accept responsibility for any major, unmentioned inconsistencies with the customer’s expectations. In this way, this responsibility constitutes an acceptance of changes made and an acknowledgment that Smith Proofreading is not responsible or liable for the content of the material.
4. Service quality
Smith Proofreading strives to provide the highest quality of service to all our customers. However we cannot guarantee that edited documents are “perfect” or “error free.”
The customer is responsible for reviewing the serviced material upon completion and contacting Smith Proofreading should any errors be discovered. Smith Proofreading is not obligated to refund the cost of the service if a completed document is discovered to be less than perfect. If dissatisfied with the company’s service, we request that the customer contacts us immediately to work out a solution.
Consequently, the company is not liable for any damages including lost revenues or profits, loss of business, or loss of data related to this service resulting from errors.
5. Refusal of service
The company retains the right to refuse service to any customer without explanation.
6. Termination of service and contractual obligations
Smith Proofreading reserves the right to terminate all services and contractual obligations with the customer upon violation of any of the terms and conditions contained herein.
A contract between the customer and Smith Proofreading commences as soon as agreed upon verbally. Smith Proofreading is the sole determiner of the fee to be charged for services rendered, based on the company’s determination of the level of effort required. The description of service agreed upon by the customer and company, in conjunction with these terms and conditions constitute the statement of work. The customer assumes all responsibility for any problems, errors, issues, as well as legal liability resulting from an incorrect statement of work.
7. Accuracy of customer information
The customer is responsible for providing true and accurate information with respect to their identifying personal and contact information. Failure to provide correct and accurate information can result in an incomplete or interrupted service. The customer assumes all responsibility for any problems, errors, issues, as well as legal liability resulting from such false information. The company is not obligated to provide the customer with a refund in the event that problems with the service arise as a direct result of inaccurate customer information, but the company may choose provide a refund, in part or in whole, at its sole discretion.
8. Financial fraud or theft
Smith Proofreading is not liable or responsible for the fraudulent use of any payment method, including but not limited to credit cards that may be used to purchase its services.
9. Ownership and copyright of business names and Website content
The business name “Smith Proofreading” and the domain “www.smithproofreading.com” are owned and operated by George F. Smith. All material on this Website and parent and subsidiary Websites including, but not limited to, copy, prices, services, and images are protected by international copyright and trademark law. These names and Website content cannot be copied, reproduced, used, republished, transmitted, printed, modified or framed without the express permission of the individual stated above.
10. Technical disclaimer
Smith Proofreading is not liable or responsible for service delays attributed to extenuating circumstances such as technical problems, including computer problems that are beyond our control. We will make every effort to meet deadlines and communicate with customers in the case of technical problems.
The customer agrees to indemnify and hold Smith Proofreading and anyone associated with Smith Proofreading harmless for any claim or demand, including reasonable fees and costs for the service of an attorney, or as may be made by any third party due to or arising from use of the site or service, or violation of the terms and conditions by the customer, or infringement or any intellectual property or other right of any person or entity by the customer.
12. Modification of terms and conditions
The terms and conditions contained herein may be modified, amended, altered, changed, reorganized, rewritten, or revoked at any time, for any reason and without notice.
